MINUTES OF CANSA’s National AGM 17 September 2008
Held at 26 Concorde Road West, Bedfordview from 14:00-16:00
1. OPENING AND WELCOME
The Programme Director, Acting President of CANSA, Adv Gary Oliver, welcomed all present, especially CANSA members, members of the Board of Directors, National Senior Management, guest speaker Dr Yussuf Saloojee, and award winners. The PD asked Lorraine Kleinhans, Provincial Manager of Mpumalanga, to open the meeting with a non-denominational prayer.
2. CONSTITUTION OF THE MEETING
The PD asked if all members present had signed the attendance register and tabled apologies from the following members: Moses Sindane, Prof Louis Goedhals, Vivienne Potgieter, Dr Henk Jooste, Free Haine, Hendri Viljoen, Marianne Theron and Rachel Katz. Company secretary Rudolf van Jaarsveld gave a report on the attendance register and 10 valid proxies received. With over 24 members present, including provincial representation, this constituted a quorum and the PD declared the meeting fully constituted and open.
3. NOTICE CONVENING THE MEETING
In accordance with the memorandum and Articles of Association of the Cancer Association of South Africa, the notice of the National Annual General Meeting was advertised within the prescribed 21 days’ notice of this meeting.
4. CONFIRMATION OF THE PREVIOUS YEAR’S AGM MINUTES
The minutes of National Annual General Meeting held on 18 September 2007 were approved. Proposed: Elize Joubert, Seconded: Munnik Marais
5. CHAIRPERSON’S REPORT
The Chairperson presented his report. See page 2 of the 2008 Annual Report.
6. FINANCIAL REPORT
It was announced that copies of the financial statements were available at the meeting. Rudolf van Jaarsveld, Company Secretary and CFO, presented the financial report on powerpoint. See the 2008 Annual Report for the audited financial statements.
7. ADOPTION OF RESOLUTIONS
Adv Oliver led the adoption of the seven ordinary resolutions and one extraordinary resolution. Auditor Robert Thompson, of Campbell, Bode & Brown added the voting in accordance with the proxies received.

THAT Mr Bhagwandas Pancha be appointed Director of the Company with effect from the date of the passing of this resolution. For 41 Against 1 Abstain 0

THAT Mr Paul Colditz be re-appointed Director of the Company with effect from the date of the passing of this resolution. For 46 Against 0 Abstain 1
3 ORDINARY RESOLUTION NO 3
THAT Advocate Gary Oliver be appointed President of the Company with effect from the date of the passing of this resolution. For 47 Against 0 Abstain 1
4 ORDINARY RESOLUTION NO 4
THAT the remuneration for the members of the Board of Directors be R2 000 per meeting attended to be paid in arrears in accordance with the Articles of Association. For 49 Against 0 Abstain 0
5 ORDINARY RESOLUTION NO 5
THAT the remuneration for the Chairperson of the Board of Directors be R4 000 per meeting attended to be paid in arrears in accordance with the Articles of Association. For 46 Against 1 Abstain 0

THAT the annual financial statement for the year ending 31 March 2008, be adopted, together with the auditors’ report. For 44 Against 0 Abstain 3
7 ORDINARY RESOLUTION NO 7
THAT Deloitte and Touche be re-appointed as external auditors for CANSA and that the remuneration for their past audit be determined. For 43 Against 1 Abstain 1

THAT the fact that the Audited Financial Statements for the Year ending March 2008 were not available 21 days before the AGM, as stipulated in the Articles of Association, be condoned. For 35 Against 0 Abstain 0
8. GUEST SPEAKER
Dr Yussuf Saloojee, Executive Director of the National Council Against Smoking, and the country’s leading anti-tobacco campaigner for over 20 years, presented the dangers of tobacco and the new legislation. He praised CANSA staff and volunteers for their support in the anti-tobacco campaigns. The NED presented him with a framed certificate for his outstanding work in the fight against tobacco and ultimately cancer.
Professor Peter Jones won the AG Oettlé Memorial Medal for 2008. As he now resides in the United States, Prof Jones received the medal at the CANSA Cancer Research in Action Conference in August 2008 when he was a guest speaker. Prof Jones is one of South Africa’s groundbreaking scientists. He has dedicated his life to the field of epigenetics and cancer research.
Lizelle Marais, board member of the Mariette Loots Cancer Trust, spoke about the trust and how every year it awards outstanding CANSA volunteers at the provincial level. The two most outstanding go on to win the national awards – one for a volunteer who is a cancer survivor, the other for a volunteer who is not a survivor. She first announced the merit award winner for Gauteng – Bev du Toit – who also greatly assists National Office as well. It was announced that the trust’s Cancer Winner Award was won by Brian Vosges of Southern Cape Klein Karoo and he will be awarded at the Western Cape AGM due to being unable to travel to Johannesburg. Ivonne Gentle of Kimberley, Northern Cape, won the Mariette Loots Friends for Life Award. It was noted that her husband and three children were in attendance.
The National Executive Director of CANSA Sue Janse van Rensburg announced the winners
of the staff awards and the Chairperson presented the awards.

Best Improved Performance: Mpumalanga
Best Performing Province: Free State / Northern Cape & Western Cape
Innovation Award 2008: Helen Ludwig, Zone Coordinator
10. VOTE OF THANKS
On behalf of the Board of Directors, Chairperson Paul Colditz presented a gift to outgoing Board member Chris Magagula and thanked him for his contribution to the cancer cause. It was noted that he will serve on the KwaZulu-Natal provincial council. The newly elected President thanked the guest speaker Dr Yussuf Saloojee, the singers Ryan Waltz and Steven Sterling who provided entertainment earlier, the Board, the members, volunteers, staff, prizewinners and all champions 4 CANSA.
The PD asked for any comment or questions. As there were none, he declared the AGM closed and thanked all who attended.
